Corporate Governance
At Cooper, we believe that the policies observed by management in leading the Company are an interregnal part of
sustainability. Likewise, the independence of the Company’s Board of Directors is key to the long-term health of
the business. In addition, Cooper believes that investors and all of its constituencies should have access to all
the information that is needed to understand how the Company handles important matters of leadership and governance.
For this reason, Cooper Industries added a special section to its website in 2003 devoted to Corporate Governance.
Cooper will continue to maintain a separate dedicated website section for the issue of Corporate Governance, chiefly
to make that information easily accessible to parties only wishing to learn about Corporate Governance, but also in
