Cooper’s Board of Directors has adopted a comprehensive set of corporate governance principles. Cooper complies with all the provisions of the Sarbanes-Oxley Act and the related SEC rules and New York Stock Exchange requirements. The Company established a Disclosure Committee to ensure that there is full and complete disclosure to shareholders and potential investors.
Recent surveys of corporate governance practices ranked Cooper's corporate governance practices among the best in the country. In 2004 and 2005, Cooper was one of only approximately 30 companies out of a total of more than 3,200 publicly traded companies worldwide to receive GovernanceMetrics International's highest corporate governance rating. Also, Institutional Shareholder Services rated Cooper's corporate governance practices above the 90th percentile based on an index of international companies in the capital goods industry.
